1         General

The following terms and conditions (called “the Terms”) form the basis on which 'Electronics and Gadgets Direct' will supply goods to you. 'Electronics and Gadgets Direct' may change these Terms from time to time. However, you will not be bound by changes made to these Terms after you have placed your order with us.

If you have any questions about these Terms, or if you wish to make any amendments to them, then before accepting the Terms, please contact sales@eandgdirect.com with your query or suggested amendment. For the sake of clarity, all such communications must be made in writing.

2          The contract between us

Before ordering with us, you will need to ensure that you have an email address as all communication regarding your order will be made electronically. If a transmission or operational failure occurs during communication, the risk and consequence of such a failure will be borne by you. It is your responsibility to ensure your email address is functioning and to check it.

When you place an order with us, 'Electronics and Gadgets Direct' will send you an order acknowledgement email setting out the details of your order (including the price of the goods). Please note that this email is for information purposes only and is not an acceptance of your order.

We must receive payment of the whole of the price for the goods that you order before the goods can be dispatched to you. All payments must be made by either a credit or a debit or a charge card, and you confirm that the card being used is yours. By ordering from us, you agree that 'Electronics and Gadgets Direct' are authorised to charge your payment card with the amount shown on the online order form. 'Electronics and Gadgets Direct' will not be liable for any delay or non-delivery of your order caused by the issuer of the payment card delaying their validation checks or failing to pay us. 'Electronics and Gadgets Direct' will only debit your credit/debit/charge card when the goods are ready for dispatch. 

When 'Electronics and Gadgets Direct' dispatch the goods to you 'Electronics and Gadgets Direct' will send you an email confirming this. It is only on the dispatch of the goods to you that your order will be accepted and the contract between us will come into force. The contract will solely be for the goods set out in our email to you confirming dispatch.

The contract concluded between us shall be in English.

3          Price

The prices payable for goods that you order are as set out in our online order form.  Our prices are inclusive of VAT. Our prices are subject to change and won’t be confirmed until you have placed your order. If there is a promotion then promotional prices will only apply for the period of the promotion stated on our website.

All goods are subject to availability. There maybe an occasion when the prices listed for goods on our website are incorrect. 'Electronics and Gadgets Direct' are not required to sell you goods listed at incorrect prices and in those circumstances, 'Electronics and Gadgets Direct' will either:

• notify you by e-mail that as a result of the error in the price, 'Electronics and Gadgets Direct' are cancelling your order and refund you any money that you may have already paid; or 

• email you to inform you of the correct price and to ask you if you still wish to proceed with the transaction. If 'Electronics and Gadgets Direct' do not receive a reply from you within 10 days, 'Electronics and Gadgets Direct' will assume that you do not wish to proceed with the transaction and 'Electronics and Gadgets Direct' will then refund you any money that you may have already paid.

4          Cancellation by us

Until the time that 'Electronics and Gadgets Direct' dispatch the goods to you, 'Electronics and Gadgets Direct' reserve the right to reject or cancel your order with us.  If 'Electronics and Gadgets Direct' cancel your order 'Electronics and Gadgets Direct' will notify you by email and will credit you with any sum paid by you as soon as possible but in any event within 30 days of cancellation.  'Electronics and Gadgets Direct' will not be obliged to offer you any additional compensation for disappointment suffered.

5          Your right to cancel your contract

 This paragraph 5 applies only if you are a consumer. If you are a consumer, you may cancel your contract with us for the goods you order by giving us written notice at any time up to the end of the (7th) seventh working day from the date you receive the ordered goods.  You do not need to give us any reason for cancelling your contract nor will you have to pay any penalty.

You cannot cancel your contract if the goods you have ordered are audio or video recordings or computer software (e.g. pre-recorded CD’s, DVD’s or tapes) and you have already taken the goods out of the sealed package in which they were delivered to you. 

If you have received the goods before you cancel your contract then you must send the goods back to our contact address 80 Phyllis Avenue New Malden Surrey KT3 6JZ at your own cost and risk. Once you have cancelled the contract then you must not use the goods and you must take reasonable care of them. 'Electronics and Gadgets Direct' recommend you return the good to us using a suitably insured service.  

If you cancel your contract but 'Electronics and Gadgets Direct' have already processed the goods for delivery you must not unpack the goods when they are received by you and you must send the goods back to us at our contact address (set out in our website) at your own cost and risk as soon as possible.   

Once you have notified us that you are cancelling your contract, any sum charged to you will be re-credited to your account as soon as possible and in any event within 30 days of cancellation..  If you do not return the goods delivered to you or do not pay the costs of delivery, 'Electronics and Gadgets Direct' shall be entitled to deduct the direct costs of recovering the goods from the amount to be re-credited to you. 

6          Delivery of goods to you

We will deliver the goods ordered by you to the address you give us for delivery at the time you make your order. If the address you request is different from the billing address then 'Electronics and Gadgets Direct' may contact you before dispatching the goods to confirm the delivery address specified by you.  The cost of delivery of the goods will be set out in the online order form.

All orders for next business day delivery must be ordered before 3pm. For all other orders, 'Electronics and Gadgets Direct' aim to deliver all products ordered within 2-5 working days of your order being accepted by us. Please note however that this is merely an estimate and 'Electronics and Gadgets Direct' may not actually deliver within these timescales as this is dependent on stock levels. Nevertheless, delivery will be made as soon as possible after your order is accepted and in any event within 30 days of your order other than in cases where circumstances beyond our reasonable control delay delivery. For example, but without limitation, strikes, lock-outs and other industrial disputes, breakdown of systems or network access, flood, fire, explosion or accident.

7          Liability

If the goods 'Electronics and Gadgets Direct' deliver are not what you ordered or are damaged or defective or the delivery is of an incorrect quantity, 'Electronics and Gadgets Direct' shall have no liability to you unless you notify us in writing at our contact address of the problem within 10 working days of the delivery of the goods in question.

If you notify a problem to us under this condition, our only obligation will be:

• to make good any shortage or non-delivery; or

• to replace or repair any goods that are damaged or defective; or

• to refund to you the amount paid by you for the goods in question in whatever way 'Electronics and Gadgets Direct' choose.

Save as prohibited by law, 'Electronics and Gadgets Direct' will not be liable to you for any indirect or consequential loss, damage or expenses (including loss of profits, business or goodwill) howsoever arising out of any problem you notify to us under this condition and 'Electronics and Gadgets Direct' shall have no liability to pay any money to you by way of compensation other than to refund to you the amount paid by you for the goods in question under the circumstances set out above.

You must observe and comply with all applicable regulations and legislation, including obtaining all necessary customs, import or other permits to purchase goods from our site.  The importation or exportation of certain of our goods to you may be prohibited by certain national laws.  'Electronics and Gadgets Direct' make no representation and accept no liability in respect of the export or import of the goods you purchase.

Nothing in these Terms is intended to limit any rights you might have as a consumer under applicable law or other statutory rights that may not be excluded nor in any way to exclude or limit our liability to you for any death or personal injury resulting from our negligence.  'Electronics and Gadgets Direct' will not be liable to you in any way for technical and other problems that you may experience when using our website and 'Electronics and Gadgets Direct' are not responsible for any loss or damage of any kind caused to your computer equipment from using our website.

8          Privacy policy and Data Protection

We are committed to ensuring that your privacy is protected.  This privacy policy explains how 'Electronics and Gadgets Direct' use the information 'Electronics and Gadgets Direct' collect about you, how you can instruct us if you prefer to limit the use of that information and procedures that 'Electronics and Gadgets Direct' have in place to safeguard your privacy.

When you register with us 'Electronics and Gadgets Direct' need to know your name, postal address, e-mail address and telephone number. When you place an order with us 'Electronics and Gadgets Direct' also require a delivery address and credit or debit or charge card number (with expiry date).  The information you provide is then used by us for the purposes set out in this clause. You agree to us and people to whom 'Electronics and Gadgets Direct' pass on your personal information to contacting you by post, e-mail, SMS or telephone. 'Electronics and Gadgets Direct' gather this information to allow us to process any orders you may make. We, our agents and sub-contractors use the information to provide you with the goods ordered and to communicate with you on any matter relating to the conduct of your account with us. 'Electronics and Gadgets Direct' may also use aggregate information and statistics for the purposes of monitoring website usage in order to help us develop the website and our services and may provide such aggregate information to third parties.  These statistics will not include information that can be used to identify any individual.

From time to time 'Electronics and Gadgets Direct' may provide your information to our customer service agencies for research and analysis purposes so that 'Electronics and Gadgets Direct' can monitor and improve the service 'Electronics and Gadgets Direct' provide. 

We may also wish to provide you with information about special features of our website or any other service or products 'Electronics and Gadgets Direct' think may be of interest to you or related information from third parties 'Electronics and Gadgets Direct' think may be of interest to you. 'Electronics and Gadgets Direct' may also provide your information to carefully selected third parties whose products or services 'Electronics and Gadgets Direct' believe may be of interest to you. 

If you do not wish us to disclose your information in any of the ways set out above (other than is necessary for the performance of our obligations under our agreement or permitted by law), please send an email to our Data Protection Controller at sales@eandgdirect.com

We monitor the use of our website for customer traffic and purchasing patterns and our website uses “session cookies” to enable us to keep track of your orders, baskets and to track visits from external links and affiliate sites.  The internet is not a secure medium. 'Electronics and Gadgets Direct' also keep your information confidential and our internal procedures cover the storage, access and disclosure of your information as required by current Data Protection legislation.

If this business is sold or integrated with another business your details may be disclosed to our advisers and any prospective purchasers and their advisers will be passed on to the new owners of the business.

If any of the information that you have provided to us changes, for example if you change your e-mail address, name or payment details please let us know immediately by sending an e-mail to sales@eandgdirect.com

By submitting your information you consent to the use of that information as set out in this policy. 

Owing to the global nature of the Internet infrastructure, the information you provide may be transferred in transit to countries outside the European Economic Area that do not have similar protections in place regarding your data and its use as set out in this policy.  However, 'Electronics and Gadgets Direct' have taken the steps outlined above to try to improve the security of your information.  By submitting your information you consent to these transfers.

Calls may be recorded for our mutual protection and for training purposes.

If you are purchasing a television or television receiving equipment from us, please note that the Wireless Telegraphy Act 1967 requires us to notify the TV Licensing Authority, giving full details of the date of the sale, as well as your full name and the address and the address of the premises where the TV is to be installed. This disclosure of information is made in accordance with the Data Protection Act 1998 and other applicable laws

9       Installation and design

If 'Electronics and Gadgets Direct' recommend someone to you to install or design any of the goods supplied to you by us, please note that any goods or services supplied to you by that installer/designer will not be covered by these Terms, but rather by the contract you enter into with that installer/designer. 'Electronics and Gadgets Direct' accept no liability whatsoever for any claims you may have in relation to those separate contracts you enter into with the installer/designer.

10       Waiver

The failure by any party to exercise any rights on a particular occasion will not prevent that party from exercising that right in the future.

11        Use of our website

In consideration of agreeing to your use of this website, you acknowledge that the ownership in any intellectual property rights (including, for the avoidance of doubt, copyright) in this website belongs to us or our licensors. Accordingly, any part of this website (or its source HTML code) may not be used, transferred, copied or reproduced in whole or in part in any manner other than for the purposes of utilizing this website meaning that you may only display it on your computer screen and print it out on your printer for the sole purpose of viewing its content.

You may not link this website to any other website without our prior written consent. Furthermore, 'Electronics and Gadgets Direct' do not make any warranties, representations or undertakings about the content of any other website which may be referred to or accessed by hypertext link with this website, and 'Electronics and Gadgets Direct' do not endorse or approve the content of such third party websites.

Please be aware that to the extent permitted by law, 'Electronics and Gadgets Direct' do not accept liability in respect of this website, your use of it or our on-line ordering service.

We provide our website on an 'as is' basis and make no representations or warranties of any kind with respect to our site, its contents or its accessibility and disclaim all such representations and warranties. In addition, 'Electronics and Gadgets Direct' make no representations or warranties about the accuracy, completeness, or suitability for any purpose of the information and related graphics published in this site. For example, specifications of phones are obtained from the phone manufacturer. The information contained in this site may contain technical inaccuracies or typographical errors. All our liability for any such inaccuracies or errors is expressly excluded to the fullest extent permitted by law.

We aim to provide you with a quality service. If, however, you feel that you have cause to complain, you can contact us at the address given at the end of these Terms and 'Electronics and Gadgets Direct' will try to do our best to solve any problems that arise.

12        Invalidity

If any part of these Terms is unenforceable (including any provision in which 'Electronics and Gadgets Direct' exclude our liability to you) the enforceability of any other part of these conditions will not be affected.

13        Third party rights

Except for our affiliates, directors, employees or representatives, a person who is not a party to this agreement has no right under the UK Contracts (Rights of Third Parties) Act 1999 to enforce any term of this agreement but this does not affect any right or remedy of a third party that exists or is available apart from that Act.

14        Governing law

The contract between us shall be governed by and interpreted in accordance with English law and the English courts shall have jurisdiction to resolve any disputes between us.

15        Entire agreement

These Terms (and any variations to the Terms agreed between us in writing), together with our current prices, delivery details and contact details as set out on our website, form the whole of the agreement between us relating to the supply of the goods to you by us.  However nothing in this clause operates to limit or exclude any liability for fraud. 

16        Definitions

In these Terms:

“you” and “your” means the person, firm or company who enters into a contract with us, or in the case of  paragraph 12 (above) , the person, firm or legal entity who accesses our website.

“us”, “our”, and “we” means 'Electronics and Gadgets Direct', a limited company registered in England. 

'Electronics and Gadgets Direct' is a trading name of Juppon Financial Solutions.
